TERMS OF SERVICE:

This Services Agreement ("Agreement") is entered into between Elizabeth Wade, ND LLC ("Provider" or "Elizabeth Wade, ND LLC") and the individual or entity ("Client" or "Customer") accessing and utilizing the "Fertility Reclaimed" online course ("Course").

By accessing, purchasing, or using the Course, Client agrees to be bound by the terms and conditions of this Agreement.

1. Services Provided

1.1 Scope of Services

Provider agrees to provide Client with access to the "Fertility Reclaimed" online course as described in the Course materials.

1.2 Access and Availability

Provider will make reasonable efforts to ensure uninterrupted access to the Course materials, but availability may be subject to occasional downtime due to maintenance or technical issues.

2. Payment and Fees

2.1 Payment Terms

Client agrees to pay the fees associated with the Course as specified at the time of purchase. Payment shall be made through the payment method provided by the Client during the registration process.

 

2.2 Refunds

Refunds will be provided in accordance with the Provider's refund policy, as specified on the course website. Client acknowledges and accepts the refund terms as outlined.

 

3. Intellectual Property

3.1 Ownership

All intellectual property rights associated with the Course, including but not limited to course materials, videos, text, graphics, and other content, are owned by Elizabeth Wade, ND LLC or its licensors and are protected by copyright and other intellectual property laws.

3.2 License

Client is granted a limited, non-exclusive, non-transferable license to access and use the Course materials solely for their personal, non-commercial use. Client may not reproduce, distribute, or otherwise use the Course materials for any commercial purposes without the express written consent of Elizabeth Wade, ND LLC.

3.3 Restrictions

Client may not:

  • Copy, reproduce, or distribute any Course materials to third parties.

  • Modify, adapt, translate, or create derivative works from the Course materials.

  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of any software provided in the Course.

4. Disclaimer of Warranties

The Course materials are provided "as is," without any warranties, express or implied. Provider makes no representations or warranties regarding the accuracy, completeness, or suitability of the Course materials for any particular purpose.

5. Limitation of Liability

Provider shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the use or inability to use the Course materials.

6. Termination

Provider may terminate this Agreement and Client's access to the Course materials at any time for violations of this Agreement or for any other reason, with or without cause.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of Oregon, without regard to its conflict of law principles.

8. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
